These IT Glue and myITprocess Product Terms of Use (“Product Terms”) govern the purchase and use of Kaseya’s IT Glue and myITprocess products and services, as well as add-ons to those products including Network Glue and MyGlue (each a “Product”). These Products Terms are hereby made a part of the Kaseya Master Agreement which can be accessed here, or such other master agreement that has been executed between you and Kaseya (“Master Agreement”). By purchasing or using a Product, you agree to be bound by the Master Agreement and these Product Terms (collectively, the “Agreement”). Capitalized terms not defined in these Product Terms have the meaning given to them in the Master Agreement. To the extent there are inconsistencies between these Product Terms and the Master Agreement, then these Product Terms shall prevail.
1. DEFNITIONS FOR THESE PRODUCT TERMS
With respect to these Product Terms and the Products, the following definitions apply and supersede any conflicting definitions in other agreements that you have with Kaseya, including the Master Agreement:
- “Device” means a hardware device, such as a server, workstation, mobile device, or network device.
- “Network” means a private connection of one or more LANs, connected to the internet through a primary ISP belonging to and intended to be accessible only by a single organization/entity or its authorized users, and not for multi-tenant or public use.
- “Organization” means a single corporate entity. An MSP is an Organization, and each Client of an MSP is a separate Organization.
- “Scanning” means the function performed by a Product that examines or probes Devices for information, reportable events, assets or other states of being.
- “User” means an individual who is authorized by you to use a Product (for example, one of your technicians or engineers), and who is given credentials to be used only by that User to access a Product.
2. USE OF PRODUCTS
a. Licensing Basis and Right to Use. Each Product has a specific basis for Licensing, as follows:
- IT Glue is Licensed on a per “User” basis.
- MyGlue and Network Glue are Licensed on a flat fee basis (with a separate Fee for each Product). The flat Fee covers all Organizations as follows:
- For MyGlue – Organizations to which you wish to give access to an IT Glue instance; and
- For Network Glue – Organizations for which you wish to perform Scanning
MyGlue and Network Glue each must be purchased as an add-on to IT Glue.
- myITprocess is licensed on a per Organization basis. If you are an MSP, you need a License for each Client for which you wish to use the Product.
Subject to your compliance with the Terms and the receipt by Kaseya of all applicable Fees, Kaseya grants you a limited, revocable, non-sublicensable, non-exclusive right and license during the applicable Committed Service Term to access and use the Products for those Licenses purchased by you. The Committed Service Term of a Service Subscription is indicated on the applicable Order. Committed Service Terms for add-on Products (for example, MyGlue or Network Glue) share the same Committed Service Term as the underlying IT Glue Subscription. A Service Subscription begins on the start date set forth on the applicable Order.
b. Integrations. The Products are often integrated with other products, services, software or data feeds (“Integrated Products”). These integrations help you consolidate information within the Product platform from different sources, to better manage, view and report on computing environments, Devices, projects or other data.
i. It is your obligation to ensure that any products or services with which you wish to integrate the Products are on Kaseya’s current list of supported and available Integrated Products.
ii. Certain Integrated Products are other Kaseya Products for which Kaseya creates, maintains and provides the integrations. For example, Datto RMM or Autotask PSA (both Kaseya Products) integrate with IT Glue. Other Integrated Products are not developed and provided by Kaseya (“Third-Party Integrated Products”). Third-Party Integrated Products are a form of Third-Party Technology, as that term is defined in the Master Agreement. Kaseya is not responsible for any defects, failures, errors, incorrect information, faulty calculations or other aspects of Third-Party Integrated Products or their integrations or effect on the Products. Kaseya is also not responsible for any changes made to Third-Party Technology (including the APIs of the Third-Party Integrated Products) that alters the compatibility or function of the Products with such Third-Party Technology; such changes shall not be grounds for termination of a Product Subscriptions. Kaseya may, in its discretion, choose to discontinue compatibility with any Integrated Product at any time.
iii. All use of Kaseya APIs are subject to the Kaseya API License, accessible at this link.
c. Exporting Content and Reports from Products. During the term of a Subscription, you may export Content (as that term is defined in the Kaseya Master) and reports from the Product platform as follows:
- IT Glue and My Glue – you may export a current snapshot of the information held in your IT Glue instance.
- Network Glue – exports are not possible from this Product.
- MyITProcess – you may export various reports, Content and other data related to an Organization’s compliance with standards, alignment with standards, and status of projects, such as budgets and progress.
Upon termination or expiration of a Product Subscription, it is no longer possible to export Content or reports from a Product instance. Kaseya reserves the right to destroy all Content, reports and other data held in your Product instance thirty (30) days after termination or expiration of your Product Subscription.
e. Agent Software. Use of a Product may involve the use of Agent Software. You hereby agree to the terms of all applicable Agent Software licenses, and Kaseya grants you the non-exclusive, non-assignable, limited right to download, install and use the Agent Software solely to facilitate your access to, operation of, and/or use of the Products as specified in an Order. Your right to use such Agent Software will terminate upon the termination of the Service Subscription associated with the Product.
3. TERMS RELEVANT TO SPECIFIC PRODUCTS.
a.Network Glue. Through the act of Scanning, Network Glue automatically collects data from Devices on Networks, and captures information about Network topology. Network Glue also performs password rotations and other activities. By using Network Glue, you hereby authorize Kaseya to access Devices in order to provide the Product, and it is your responsibility to confirm such authorization with your Organization and any of your Clients, customers, and relevant End Users. Scanning may originate or appear to originate from a Kaseya URL, and you will inform relevant individuals that such should not be mistaken for a cyber-attack.
b.MyGlue. Through MyGlue, you may give a Client access to its IT Glue instance. It is your obligation to make sure that you configure such Client access correctly, that you appropriately limit User access to sensitive information (such as passwords), and that you fully understand the different User roles and preferences such that you can properly control access.
c. myITprocess. Among other uses, myITProcess can be used to help guide you through compliance review of various IT standards. YOU UNDERSTAND THAT PRODUCTS (including myITprocess) ARE NOT INTENDED TO PROVIDE PROFESSIONAL ADVICE AND ARE NOT A SUBSTITUTE FOR THE ADVICE OF LEGAL, COMPLIANCE, OR OTHER TYPES OF ADVISORS OR EXPERTS. KASEYA WILL NOT AUDIT OR OTHERWISE VERIFY INFORMATION YOU UPLOAD TO THE PRODUCTS, AND KASEYA IS NOT RESPONSIBLE FOR YOUR COMPLIANCE WITH ANY STANDARD OR APPLICABLE LAW. INFORMATION GENERATED BY THE PRODUCTS MUST BE REVIEWED BY YOU IN CONSULTATION WITH YOUR PROFESSIONAL ADVISORS IN YOUR DISCRETION. KASEYA IS NOT ACTING AS YOUR AGENT OR FIDUCIARY IN CONNECTION WITH YOUR USE OF THE PRODUCT OR IN ANY OTHER MANNER.
